M.A.P POLICY

Our “Ministry Awareness Program” (M.A.P.) is designed to support GUTK Ministers that have a unique and divine calling in Ministering,Teaching, Healing, Singing, Hip-Hop, Poetry, Art, and other African/ Indigenous forms of praise and worship.

TERM

GUTK/ GUTK is hereby engaged as spiritual counselor (hereinafter “Ministry Coach”) for all M.A.P Ministers (hereinafter “Guest Minister”).

This agreement is effective until terminated by either party. Guest Minister may terminate this Agreement at any time, by sending a “MAP Termination Request” via email. Ministry Coach may terminate this Agreement at any time and without notice to Guest Minister, if in Ministry Coaches sole judgment, Guest Minister breached the terms and conditions of this Agreement.

Ministry Coach is entitled to terminate all or any part of any of its websites without notice to Guest Minister. Ministry Coach reserves the right to cancel this Agreement, and suspend the rights and privileges to use our website completely, including a complete ban of Guest Ministers IP address from all websites affiliated with Ministry Coach, for violating these terms and conditions.

AUTHORITY OF MINISTRY COACH

Ministry Coach is hereby appointed Guest Ministers’ spiritual counselor with authority to do any or all of the following, for or on behalf of Guest Minister, during the term of this Agreement:

(a) approve and authorize any and all publicity and advertising (subject to Guest Minister’s previous approval)

(b) approve and authorize the use of Guest Minister’s name, photograph, likeness, voice sound effects, caricatures, and literary, artistic and musical materials for the purpose of advertising any and all events, appearances, products and services, subject to Guest Minister’s previous approval;

(c) execute in Guest Minister’s name, invitation agreements for Guest Ministers personal appearances as a Guest Minister, subject to Guest Ministers’ pervious consent to the material terms thereof.

SUPPORT OF MINISTRY COACH

(a) As support for the Ministry Coach it is humbly recommended that Guest Minister donates a percentage of the received honorarium to GUTK. The recommended percentage donated to GUTK is hereinafter referred to as “tithes”:

10% - 100% of Guest Minister’s gross contributions received in connection with invitations acquired via Ministry Coaches “Ministry Awareness Program” during the term hereof. Ministry Coach shall receive said tithes in perpetuity on all compensated assignments during the term hereof.

(b) The term “gross contributions” as used herein shall mean and include any and all offerings or other consideration (i.e. donations, offerings, salaries, royalties, share of profit, shares of stock) which Guest Minister may receive, acquire, become entitled to, or which may be payable to Guest Minister, or on Guest Minister’s behalf, directly or indirectly (without any exclusion or deduction) as a result of Guest Minister’s activities as a guest speaker, performer, writer, singer, musician, composer, publisher, or artist.

c) Ministry Coach shall be entitled to receive an agreed upon tithe as provided herein in perpetuity on Guest Minister’s gross contributions derived from any agreements entered into through Ministry Coach during the term of this agreement. Guest Minister also agrees to tithe following the term hereof upon and with respect to all of Guest Minister’s gross contributions received after the expiration of the term hereof but derived from any and all invitations, bookings, engagements, contracts, agreements, employments, and activities, negotiated, entered into commenced or performed during the term hereof relating to any of the foregoing, and upon any and all extensions, renewals and substitutions thereof and therefore, and upon any resumptions of such employments, engagements, contracts, agreements and activities which may have been discontinued during the term hereof and resumed within two (2) years thereafter;

(d) Ministry Coach is hereby authorized to receive, on Guest Minister’s behalf, all gross contributions and to deposit all such funds into a separate trust account in a bank or savings and loan association. Ministry Coach shall have the right to withdraw from such account all tithes to which Ministry Coach is entitled hereunder and shall remit the balance to Guest Minister or as Guest Minister shall direct. Notwithstanding the foregoing, Guest Minister may, at anytime, require all gross contributions to be paid to a third party, provided that such party shall irrevocably be directed in writing to maintain agreed upon tithing to Ministry Coach in accordance to the agreement herein.

LOANS AND ADVANCES

Ministry Coach will make loans or advances to Guest Minister and incur some expenses on Guest Minister’s behalf for the furtherance of Guest Minister’s independent ministry in amounts to be determined solely by the good faith business judgement of the Ministry Coach. Guest Minister hereby authorizes Ministry Coach to recoup and retain the amount of any such loans, advances and/or incurred expenses, including, without limitation to transportation, meals, hotel room, marketing/advertising or any other expenses Ministry Coach may advance funds for. Guest Minister agrees to have all advanced funds recouped by Ministry Coach from any honorarium that Ministry Coach may receive on behalf of Guest Minister.

Guest Minister shall reimburse Ministry Coach for any expenses incurred by Ministry Coach on behalf of Guest Minister, including, without limitation to long-distance calls, travel expenses, messenger services, postage and delivery costs. Notwithstanding the foregoing, no travel expenses and or single expense in excess of fifty dollars ($50.00) shall be incurred by Ministry Coach without the prior approval of Guest Minister.

Notwithstanding the foregoing, any loans, advances or payment of expenses by Ministry Coach hereunder shall not be recoupable by Ministry Coach hereunder until Guest Minister has earned honorarium through the Ministry Awareness Program. If the amount of honorarium received by Ministry Coach on behalf of Guest Minister does not cover the full balance due; Ministry Coach shall provide Guest Minister with a balance statement of all expenses incurred hereunder and Ministry Coach shall be reimbursed by Guest Minister within fourteen (14) days of receipt of any such statement.

NON-EXCLUSIVITY

The terms of this policy hereunder are not exclusive; meaning both Ministry Coach and Guest Minister shall at all times be free to engage in ministry with others.

MINISTRY OF GUEST MINISTER

Guest Minister agrees at all times to pursue the fulfillment of Guest Minister’s divine calling in a manner consistent with Guest Minister’s values, goals, philosophy and disposition; and to do all things necessary and desirable to promote your ministry and blessings therefrom.

Guest Minister reserves the right to consult with Ministry Coach regarding all other offers and inquiries concerning Guest Minister’s ministries that was not initially received through Ministry Coach. Guest Minister reserves the right, without Ministry Coach’s prior written approval, to engage any other person, firm or corporation to render ministerial services. Ministry Coach shall not be required to travel or meet with Guest Minister at any particular place or places, except in Ministry Coach’s sole discretion and following arrangements for cost and expenses of such travel, such arrangements to be mutually agreed upon by Guest Minister and Ministry Coach.

ADVERTISING

During the term hereof, Ministry Coach shall have the exclusive right to advertise and publicize Ministry Coach’s “Ministry Awareness Program” in respect to Guest Ministers ministry.

SPIRITUAL COVERING

Guest Minister understands that M.A.P is not a “talent agency”. M.A.P provides prayer and spiritual covering for Guest Ministers listed in our directory. We sow a seed in the minds and hearts of church leaders and other non-profit organizations that seeks Guest Ministers to visit their church, non-profit, or other organization to perform specified ministerial services.

LEGALITY

Nothing contained in this agreement shall be construed to require the commission of any act contrary to law. Whenever there is an conflict between any provision of this agreement and any material law, contrary to which the parties have no legal right to contract, the latter shall prevail, but in such event the provisions of this agreement affected shall be curtailed and restricted only to the extent necessary to bring them within such legal requirements, and only during the time such conflict exists.

CONFLICTING INTERESTS

From time to time during the term of this agreement, acting alone or in association with others, Ministry Coach may package a program in which the Guest Minister will be invited in connection with the production of an event, media recording, or other arrangements. Such activity on Ministry Coach’s part shall not be deemed to be a breach of this agreement or of Ministry Coach’s obligations and duties to Guest Minister. However Ministry Coach shall not be entitled to the commission in connection with any gross contributions derived by Guest Minister from any employment or agreement whereunder Guest Minister is invited by Ministry Coach. In addition, Ministry Coach shall not be entitled to any tithes in connection with any gross contributions derived by Guest Minister from the sale, license, or grant of any literary rights to Ministry Coach or any person, firm or corporation owned or controlled by Ministry Coach.

M.A.P APPLICATION & GUEST MINISTERS PROFILE PAGE

Ministry Coach from time to time will receive guest appearance invitations for ministers listed in our “Directory Of Ministers”. These invitations are one of the many benefits of having a M.A.P profile page. All content (information/ media) that you want on your profile must be provided when you submit your M.A.P application. It is your responsibility as the Guest Minister to provide the necessary content for the building of your profile page. Please know that these benefits are not available to all ministers. Ministry Coach reserves the right to deny any M.A.P applications that we receive.

SCOPE & ASSIGNMENT

This agreement shall not be construed to create a partnership between the parties. Each party is acting hereunder as an independent ministry. Ministry Coach may appoint or engage any other persons, firms, or corporations, throughout the world, in Ministry Coach’s discretion to perform any of the services which Ministry Coach has agreed to perform.

Guest Minister shall not assign this Agreement or any portion thereof, and any such purported assignment shall be void. This agreement shall inure to the benefit of Ministry Coach’s successors and assigns, provided that Ministry Coach shall always be primarily responsible for providing spiritual covering and rendering ministerial services, and may not delegate all of it’s duties without Guest Minister’s written consent. Ministry Coach shall have the right to assign this Agreement and all of Ministry Coach’s rights hereunder, or delegate any and all of Ministry Coach’s duties to any church, non-profit, or other organization with the written approval of Guest Minister.

GUEST MINISTER STATUS

(a) No Employment Relationship

It is the express intention of the parties that Guest Minister is an independent minister and not an employee, agent, joint venturer or business partner of the Ministry Coach. Nothing in this Agreement shall in any way be interpreted or construed as creating or establishing the relationship of employer and employee between Ministry Coach; Guest Minister; or any employee or agent of the Guest Minister. Both parties acknowledge that Guest Minister is not an employee for state or federal tax purposes. As an independent minister, Guest Minister is not entitled to any employee benefits from Ministry Coach. Guest Minister shall retain the right to perform ministerial/ pastoral services for others during the term of this Agreement so long as these services (i) are not inconsistent or incompatible with Guest Minister’s obligations under this Agreement.

(b) No Authority To Bind Ministry Coach

Guest Minister has no authority to act, to enter into any contract, or to incur any liability on behalf of the Ministry Coach.

MINISTER’S WARRANTIES

Guest Minister is over the age of eighteen (18), free to enter into this Agreement, and has not heretofore made and will not hereafter enter into or accept any engagement, commitment or agreement with any person, firm or corporation which will, can or may interfere with the full and faithful performance by Guest Minister of the covenants, terms and conditions of this Agreement to be performed by Guest Minister; or interfere with Ministry Coach’s full enjoyment of Ministry Coach’s rights and privileges hereunder. Guest Minister warrants that Guest Minister has, as of the date hereof, no commitment, engagement or agreement preventing Guest Minister from rendering ministerial services.

CHANGES TO THIS POLICY

Ministry Coach may revise this Privacy Policy from time to time. The most current version of the policy will govern our use of your information. If we make a change to this policy that, in our sole discretion, is material, we will notify you via an e-mail to the email associated with your account. By continuing to access or use the web site after those changes become effective, you agree to be bound by the revised Privacy Policy.

COMPLAINTS

Ministry Coach shall be required only to render reasonable services, which are called for by this Agreement as and when reasonably requested by Guest Minister. In the event of any dispute under or relating to the terms of this agreement or any breach thereof, it is agreed that Guest Minister shall submit a written complaint along with any evidence in support of complaint. Ministry Coach will take every measure to provide a beneficial solution for all parties involved in the matter. Please send all complaints here.

ENTIRE AGREEMENT

This constitutes the entire agreement between Guest Minister and Ministry Coach relating to the subject mater hereof. This agreement shall be subject to and construed in accordance with the laws of the State of North Carolina applicable to agreements entered into and fully performed therein. A waiver by either party hereto or a breach of any provision herein shall not be deemed a waiver of any subsequent breach, nor a permanent modification of such provision. Each party acknowledges that no statement, promise or inducement has been made to such party, except as expressly provided for herein. This agreement may not be changed or modified, or any covenant or provision hereof waived, except by an agreement in writing, signed by the party against whom enforcement of the change, modification or waiver is sought.
